  1. Only when you exercise the option, I believe ..

    It also depends how the options are classified .. HMRC may regard them as 'deferred inccome' and Tax them under PAYE as income .. or they may be 'Enterprise Incentives' and Taxed under Capital Gains

  2. YEP all divis are taxed at 10% none reclaimable and you could be liable to capital gains tax or (unearned) income  tax depending on any gain produced.
