I know that an LLC can choose to be classified as an S-corporation with the IRS, but can it choose to be a C-corporation and utilize the same deductions? If so, how do I decide whether to form an LLC or a corporation in the first place?

  1. There really is no such thing as an LLC as far as taxes go. Even if you have decided to be an LLC, you still need to choose whether the LLC is to be a C-Corporation, an S-Corporation, a Partnership, or a Sole Proprietorship. Those entities have different treatment of deductions.

  2. in forming a 1 person LLC the LLC can be treated as a disregarded entity and can be filed under the owner's annual tax filing similar to a sole proprietor but without personal liability (LLC, limited liability company can be sued but only for the value of the company's assets; a sole proprietor can be sued for all company and personal assets)...a corporation can only be filed under corporate taxes...liability is the same as LLC...don't know if that helps

  3. no; it all has to do with liability - less liability personally with an LLC
