Can we have a private stock offering that doesn't require us to register in every state?

We need to raise a small sum of money for our new company and we want to offer some ownership to others in small increments, but obviously do not want to upset the SEC.

  1. you need an attorney who is familiar with private placement law and prospectus writing to do it for you. You only register in your state the broker dealer that you hire to sell the private offering must be blue skied in the states where you want it sold if not every state
