Capital Gain Treatment?

A fellow shareholder wants to purchase the "voting rights" of my S-Corp stock. I know this does not invalidate my "S" election by creating two types of stock, but do I get to treat the proceeds as Long Term Capital Gain? I have owned the S-Corp for 10 years or so.
