There are reasons why there are weight classes. Dempsey was a menacing Heavyweight(although he was a cruiserweight by today's weight standard) Floyd is a quick welterweight.

The first punch that lands anywhere on Floyd, would hurt him!

Mayweather!!!! yeah i said it, and what!!! reason floyd elusiveness... Dempsey was great the Manassa Mauler did just that maul you and then ko you but floyd would spin side step(something that was'nt big in use back then) and pop shot the h**l outta Dempsey...Dempsey would try some rough house tactics but Floyd would'nt go for it he let the judge make all the foul calls making Dempsey look worse then what he was...now this is providing Floyd was a heavy or Dempsey was a light weight but ahhhhhhh never the two would meet under that great amount of weight disparity unless Floyd gets a hunk of a check..(notice when Dempsey lost it was to a slick boxer in Gene Tunney well floyds 5x's more talented and a naturally gifted fighter.... that's why...but after the fight Jack waits for him outsides the dressin room and whupps that @$$!!!!

I get tired of hearing about how quick this fighter is or that fighter. Know this...... Mayweather CAN'T dodge EVERY single punch that Dempsey would throw the entire fight. It would only take one good blow to change the outcome of the fight in Dempsey's favor. Yes, Mayweather is quick, but the body is not as fast as the head. All Dempsey would need to do is go for the body, whether it be the abs, ribs, arms or shoulders. With Dempsey's size and strength, those punches would take a huge tolls on Mayweather. After breaking down the much smaller fighter, Dempsey could finally go in for the kill.

wouldn't have ever happened they are way too different in weights class. on the other hand Dempsey would have a lot of trouble with Mayweather b/c he wouldn't be able to land a punch since mayweather is so fast; however, if he did Dempsey would probably knock him out.
