  1. They are the most senior managment of a company.

    CEO being top of the food chain. (Chief Executive Officer)


  2. Directors are elected by the shareholders to run the corporation

    Officers such as President, Treasurer, Secretary and vice-presidents are appointed by the directors.

    The president "presides" over the corporation, the vice president takes his place if necessary. The Secretary keeps the records, the treasurer handles finances.

    CEO, CFO, COO, are defined in the corporate bylaws and can vary between corporations.
