  1. there is nothing wrong, when conflict of interest is addressed properly to both principals.

Some franchise agreements will prohibit owning a competing franchise.  So for example, you might be able to own both a franchised sandwich shop and a franchised pet supply store; but not two sandwich shops from different companies. You have to read the franchise agreements to understand each franchisor's requirements and the scope of the restrictions.
