Does private stock have to be sold to current shareholders or the company only? What about new investors?

  1. A private company can sell stock to whomever they like.  However, once the number of shareholders reaches a certain threshold (500 if I recall correctly) then the company has to file financial reports with the SEC even if the company is private.
