  1. Short Answer:

    See Player's Handbook page 308.

    Long Answer:

    Assuming D&D 3.5....

From the d20 SRD: "A character who has not yet acted during a combat is flat-footed, not yet reacting normally to the situation. A flat-footed character loses his Dexterity bonus to AC (if any) and cannot make attacks of opportunity."

N.B. Being flat-footed, in and of itself, does not make you vulnerable to sneak attack. Normally, being flat-footed causes you to lose your Dexterity bonus to AC; being denied your Dexterity bonus to AC is what makes you vulnerable to a rogue's sneak attack. It is a subtle distinction but it can come up in play.

The question you probably meant to ask is: "when are you denied your Dexterity bonus to AC?"

    1) flat-footed*

    2) attacked by an unseen opponent

    3) immobilized (grappled, held, helpless, incapacitated, pinned, or stunned)

    4) climbing

*note that balancing makes you flat-footed

  2. My 3.5 Players Handbook says page 137.  You can also find a description of the condition in the online version, linked below.
