  1. 1. Most search engines can't index flash content (google can since a month or so)

    2. Flash version problems

    3. Not all devices/browsers support flash (eg. mobile phones)

    4. It's proprietary technology

    5. It's a pain having to wait for the swf file to load.

    Also:

    If it can be done using HTML/CSS, you don't need Flash.

    If it *requires* Flash you need to reconsider your design.
