  1. Go see a broker who does corporate finance.

  2. If you are asking this question, it is highly likely that your company is not ready for NASDAQ or the NYSE. From the Wikipedia article on NASDAQ:

"To qualify for listing on the exchange, a company must be registered with the SEC, have at least three market makers (financial firms that act as brokers or dealers for specific securities), and meet minimum requirements for assets, capital, public shares, and shareholders."

For example, for the NASDAQ Capital Market (formerly NASDAQ Small Cap Market),  your market capitalization will probably need to be at least $50 million. You need to have at least 1 million publicly held shares with a share price of at least $4. The entry fee is a minimum of $50,000.

To find out more about becoming a NASDAQ-listed stock, go to the first nasdaq.com link below and start downloading PDF files.

You'll probably start out trading as a publicly held company using Pink Sheets or some other OTC market such as OTC-BB.

The next level may be one of the smaller US stock exchanges, such as Boston, Chicago, Miami, or Philadelphia.

Your first steps, however, should be to talk to a law firm that specializes in securities, and an independent accounting firm that specializes in securities..

  3. I'm assuming you mean how do you get your company listed.

  4. Assuming you are already a publically traded company you will have to apply to the stock list departments of the NYSE and they will send you the forms and the criteria needed for listing.

If you would rather apply for listing on the NASDAQ, contact their stock list department for applications and requirements

You can not do this by just going to their websites, applications must be submitted in the format that they request and using forms that they provide.

If you company is not publically traded company, I suggest you sit down with your independent accounting firm and law firm for preparation for a public offering.  Once your accounting firm & law firm are on the same page, they can direct you from there.
