Its better to go through a consultant,as you can get your registration done in a proper way,since it has several steps to get completed........like memorandum of articles & investment part to start up....so on issues involved....i suggest you to move with a good & reasonable consultant....all the best.

    1) To register a private limited company, one has to have minimum 2 share holders and 2 directors.

    2) Shareholders and directors could be same or different set of people

    3) The companies are registered based on a particular address in a state. So if you have frozen on the registered address, then one has to apply in that state. Say if you have decided to open the registered office in bangalore, you may apply with the Registrar of companies,Bangalore.

    4) Please note that the registered office and the operational office need not be same. :). meaning, you could have the registred office in bangalore and yet you could have your operational office in chennai. :)

    5) Few procedures are listed below

    a) apply for name availability. Means even before registering, you would see if the name that you suggested is available from the Registrar of companies. if its available, then they would grant you the name

    b) once the name is approved you need to file the following

    i) form 18 informing the place of the registered office

    ii) form 32 - directors name and address

    iii) Memorandum of association - That contains the objects of the business, the shareholders, the state of registered office etc.

    iv) Articles of association - That provides the rules and regulation of the company.

    And each of the above may have few more documents or references. :)

  3. Please get into touch with a local Chartered Accountant or Company Secretary. They will take care of proper documentation about formation of the company. They will, most probably, undertake to register your company for a fee. You will have to tell them about your ideas and they will do the needful.

    The company is to be registered at the ROC i.e. Registrar of Companies which is having offices in various cities. You can directly approach ROC for registration. But as I have said, better that you hire a professional to take care of lots of documentation and handlings. There are complex legalities involved.

  4. Since you haven't mentioned your location in India, your private limited company would be registered with the appropriate jurisdictional Registrar of Companies (ROC). After completing certain formalities like name availability, preparation and stamping of certain documents like Memorandum & Articles of Association, F-18 as to intimation of registered office of the company etc., you will get the certificate of Registration from the ROC.

    I suggest you to avail the services of a Practising Company Secretary for the purpose as even otherwise, his certification may be required on certain documents.
