  2. Section 201A of the Corporations Act says that a company must have at least one director, who must ordinarily reside in Australia.  Are you going to live here?

    Apart from that issue, fill out an ASIC Form 201 http://www.asic.gov.au/asic/asic.nsf/asi... pay AU$400 and you are away.
