  3. Click Start>Run, type "cmd", and type "net user Administrator mymassword". This changes the password of the Administrator account, which can be accessed from the welcome screen by pressing Ctrl+Alt+Del twice and typing "Administrator" for the user name.

    If that doesn't work then you can exploit a security flaw in XP. Open a command prompt window and type the following:

    cd \windows\system32

    ren utilman.exe utilman.old

    copy cmd.exe utilman.exe

    Now log out, and hit WinKey+U at the welcome screen/login prompt. This should bring up a command prompt window (with administrative priviliges). Type "net user Administrator mypassword". Close the command line window. If you're at the welcome screen hit Ctrl+Alt+Del twice. Type "Administrator" for the user name and "mypassword" for the password. You're in.

    Of course depending on what you mean by "administrator", you may have never even SET a password for the built-in Administrator account (not to be confused with your regular account with administrative privileges). If this is the case then you can just get into the Administrator account without even typing a password.

    UPDATE:

    If you get an "access is denied" message when working with the files in your System32 folder, all is not lost. You can download and install the Windows AIK from Microsoft (on another computer) from http://www.microsoft.com/downloads/detai... . Make a Windows PE CD according to the instructions provided. Then boot up the computer for which you lost the password using the WinPE CD-ROM. After it loads you will get a command-prompt window. From here you have the administrative privileges to do the utilman.exe trick. (Note that you cannot do the "net user" trick from WinPE, since it is an entirely different Windows installation).

    go to following link and download the software for reseting the  password its free and popular and print the documentation because you need it while you are using this software you need to burn this image to cd and follow the instructions

    And if you have any other user other than admin on this you can reset the administrator password via simple command >>

    net user administrator *

    then it will ask u to reset the password and ur done
