  1. No.

    You need at least a disc of Windows 9x to prove ownership of a qualifying OS.


  2. If you haven't used it and are upgrading from W98 or lower, use it to upgrade.

    If you are reinstalling (on same computer)  what you have already installed, go for it.

    If downgrading from Vista, sorry, you need to buy full version of XP.
