I want to know how can I create a company ?

I want to create a company and register it under the companies act but i dont know where to go and how to do it? i live at Po. Sibpur Dist. Howrah State: West Bengal Pin. 711102. Please help!

  1. Dear, technically speaking, you cann't create but get a company incorporated under the Companies Act, 1956.

    A small piece of advice, think 10 times before having a company incorporated, why becos it is far easier to have a new company incorporated than winding it up later on if you start feeling burden of it. The law has become very tough recently and courts have been taking serious view on the actions/defaults of company promoters and directors.

    To have a company registered, first you have to have its name available from the Registrar of Companies (ROC) of the jurisdiction ( where the registered office of the comapany is going to be established) For Example, ROC for West bangal is in Calcutta.

    Having had the name available, you need to complete formalities of incorporation such as Memorandum & Articles of Association, Directors consent, Authorised capital etc etc. The formalities are elaborate in case of Public Limited Comapnies than Private Limited Companies. Once the company is registered, you can start business under its name straight away if you have gone for a private limited company, otherwise for public limited comapny you have to obtain from the ROC a certificate to carry on business by complying certain formalities.

    The best route to have the company incorporated and comply with requirements, you sholud take the services of a qualified professional for the purpose such as a practising company secretary or a practising chartered accountant. In my opinion, a practising company secretary would be a better option to guide and do the needful.

    The incorporation cost is heaviest depending in relation to the authorised capital of the comapny. So be very careful and take a prudent decision; objects of the company vis-a-vis authorised capital - immediate present activities and future plans, you can have it in a phased manner to quite an extent, depends on your business plans and professional advice given to you.
