I want to transform my C corporation in DBA , what do i have to do ?

we have a C corporation and we consider that we dont need it anymore , as long as we work as a sub-contractor ,we use it just to get the checks from the contractor that we work with , we was thinking to open a DBA , what do we have to do to make the change ?

You probably should not have set up a C corp in the first place as you don't need to be incorporated to get checks.  Consider what business you are in to help decide on the type of organization you run your business under.  If you need protection, converting your C corp to an S corp or a LLC could be a better move.  Any form of corporation is expensive to maintain and expensive to terminate.  If you are providing personal service like drafting, bookkeeping, IT, then a D/B/A would be the simplest structure.  

    You should also consider benefits such as medical insurance and retirement plans before you make a change.

    Your best course of action would be to speak with a CPA or attorney and get some solid guidance before you do anything.


  2. Conversion forms and instructions should be on your Secretary of State web site.

    You will have to deal with the IRS also, you should consult a business attorney and a CPA.
