Is the old iPod touch the same (physically) as the new one?

On Amazon, the old one is selling for $30 cheaper than the new one. Could I just buy the old one and upgrade for the additional fee and save a little bit of money? Or did apple change the design of the iPod touch along with the software update? Also, how much is the software upgrade?
