Question:

My business partner of 1 year has just disappeared, how do I remove him from my business legally?

I know he is gone for good, police won't help look for him. He got in some financial trouble with a bookie and loan shark and off he went. So I know he has to access to my finances but he is on my incorporation for Colorado and my IRS EIN. Anything will help.

  1. Easy --- Dont!..... Just form a new company and transfer your customers to you.... Be sure to close accounts and change leases.....

    You'll need all the help you can get and quick!

    And you might want to check all the bank balances and the credit report on the business to see if he's done anything funny with the business's funds

    I doubt this post is true but if it is then you need legal representation ASAP. Only by going through the courts can this be taken care of.

  5. First of all, cancel the credit cards.

    Next, go to your bank and open new checking accounts for the corporation.  Fill out a new signature card for your old corporate accounts, and take his name off.  Leave enough money in the accounts to cover outstanding checks and charges, and move the rest to a new account.

    If you are a C corp, you have a corporate charter and various other legal documents that define the ownership.  You will need those documents and your corporate attorney to remove him from the corporation.  Removing him as an officer is a different procedure than removing him as an owner or as a shareholder, so make certain you get your lawyer in on this.

    Don't forget to change passwords on your software, computers, servers/routers, online accounts for your cell phones and bank accounts and credit cards and Pitney Bowes and goodness only knows what else.  It might be a good idea to change your locks and change the codes on your security system, too.  And if you get your mail at the post office or in one of those "cluster" boxes, have the post office change the locks on that, too.

  6. I registered my business at the country courthouse. In order to dissolve it or change it, you would go there and fill out new paperwork and file it at the courthouse dissolving the partnership. Since yours is incorporated, you may need to enlist an attorney to guide you.
