Need video-taking camcorder with USB capabilities!?

My friend and I are looking for a nice video camera with editting software. We're looking for the best we can get with about $400. The camera should have the following:

-HD quality

-Editting Software

-Able to connect to a USB port

-Hard drive

-Magic

Sorry for being so straight forward, but I guess we know what we want haha.
