New Motherboard Problem Pleasee help

MB: GA-P35-DS3L(rev.20) BIOS: The version that came with MBCPU Brand: Intel Core 2 Quad 9300 2.5GHz Model #: BX80580Q9300VGA Brand: NVIDIA 8800GTSOperating System: Vista 32-bitMemory Brand: G.Skill 4GB DD2-1066 Dual ChannelledPower Supply: Rosewill 600WI recently built this new computer and installed Windows XP on it for a few days. Every thing worked perfectly untill I decided to upgrade to Windows Vista Ultimate x86 32-bit which worked fine for the first 2 boots, and then BIOS started giving me problems. Started off with trying to restore BIOS information from harddrive halfway through the PC would shut off and reattempt the same procedure. For some odd reason it would only boot Windows if I press Delete Key right when i start my computer. (note: By the time this happened, I couldn't get into the BIOS Configuration Screen. Del key only bypassed problem). In Vista, I swapped my usual USB keyboard for my debugging purple plug keyboard and did some vista updates, finally restarted my computer. Tried the usual del key trick and didn't work, figures it was USB and probably wasn't registered in the plug in play. The computer went through the screen of trying to restore BIOS information from harddrive shutting off and repeat, a few times. Finally the PC wouldn't boot that screen and del key doesnt do the trick anymore.When I turn on the computer the fans, harddrive, dvd drive all turns on but the BIOS doesn't load. After turning on PC everything is running, lasts for about 5 seconds, then turns off and retries the process. I tried to reset the CMOS, but didn't make a difference. Please help me out. Is my MB damaged? Is this MB not compatible with Windows Vista? XP worked how did Vista s***w up my BIOS? Is there anyway or things i can do to try to revive my new PC or do I have to return the MoBo? or does the problem lie with another piece of my hardware such as CPU?Thanks in advance.
