Non disclosure agreement for a website?

im going to talk to a web designer about my website that i would her to make. do i need to make her to sign a NDA or is it standar procedure for her not to discuss her clients work.

i saw this NDA http://www.docstoc.com/docs/14660/Web-Si...

on the internet. please check it out. my question is what is the next step. do i just print it out and send it to her as it it or does it need editing. im not sure what to do

  1. I'm not sure why you would need one of these.

    Unlike most other business activities, everything that you give your designer is likely to be info to put on a website - ie for the whole world to see at their leisure. It's a general good rule of thumb to not put anything on the net that would cause you problems if someone read or saw it.

    Therefore it seems to me that the website designer would be dealing only in what would be about to become public information anyway, anything that is a "business secret" or similar wouldn't be given to them as it's no relevance. So I don't see what they could possibly discuss or disclose that would be such a problem.

    The only reasons why there might be anything secret would be

    A) You are launching a new site and don't want competitors to get a jump on you

    B) You are worried about competitors finding out about how much money you have spent on it

    C) You don't want people to find out your statistics of visitors etc.

    D) It's not actually website design, more an intranet or similar.

    Personally if it was me I would just discuss your concerns with the designer and state you want them to ensure that they don't disclose whatever it is you are worried about. You could get them to sign something like this but it would be very unusual due to the fact (as i stated) that the purpose of website design is to create content to be made public!
