The biggest difference is in the style of play. In American Football the ball is passed forward (though at times it can be laterally thrown backwards). Rugby, which I'm assuming you're more familiar with, requires the ball to make backward motion unless it is being carried.

In Rugby, there are now downs. Play is continuous unless there is a scrum or line up. Even in those instances, Rugby is more fluid and similar to soccer in its continuous style of play. American football has 4 downs, and each play ends when the ball carriers knees touch the ground or the pass is incomplete.

The Tri of Rugby, though similar to a football touchdown, has a different scoring system than football, which also has extra points.

Another major difference is in kicking. American football does not have the same rules involving forward kicks, which in Rugby can be performed by any player at any time they have possession.

Obviously Rugby does not involve pads, where American Football does.

1. Football has stoppages after each play.  Rugby is continuous, stopping only for broken rules, scoring, and out of bounds.

2. Football allows blocking/obstructing defenders.  Rugby does not.

3. Football allows forward passing, rugby allows lateral or backwards passing.

The biggest differences are that rugby players play a physical contact game without much protection, whereas, American Football players play in helmets with gridirons on them. They also wear big shoulder pads and a lot of other protection on their body.

Rugby has a far greater history about it. American football is new in comparison.
