Question:

Shares allotted and share capital?

I am new in this field, please if someone can help. I am doing the annual webfilling for my company and this is the first year, I do not know what I should fill when I am asked "Nominal value of each share", "Number of shares issued", Aggregate nominal value of issued shares". What should I answered for these three things?

  1. The nominal value is the denomination of the shares on the certificate or the description of security. i.e. Ordinay 25p shares. This is as opposed to the market value. The company has an authorised capital, and issued capital (in shareholdes' names) Aggregate nominal is presumably where sahres have been issued at different prices and averaged out.


  2. To put it simply:

    Nominal Value of each share - This is just asking you to enter the number of £s each one of your shares is worth. When you incorporated your company you would have chosen how many shares the company was formed with, and how much each one was worth.  You will be able to find this information in your Memorandum and Articles of Association as well.

    Number of shares issued - When you incorporated your company you would have had to give at least one share to someone. Here you just need to enter the number of shares that you allocated to people. Again, you will be able to see this information in your Memorandum and Articles of Association.

    Aggregate nominal value of issued shares - If you changed the value of your shares during the year, this is where you would enter the value you added to your shares. If you are new to this, you probably haven't done that, and you would certainly know about it if you had.
