Sole proprieter LLC, moved to new state, how to change the address of LLC.?

I am a sole proprieter of an LLC registered in New Jersey. I have now moved to Missouri and need to know as to what formalities need to be done now to transfer the LLC. Will this be an address update or Will I have to close the LLC in NJ and open up a new one in MO with the same name?

  1. Contact the Secretary of State in Missouri. Ask what the local laws say about your situation. If you company is essentially online, you may not have to change anything as long as you have an address in New Jersey to use for service of any summons or legal documents. Contact the New Jersey Secretary of State to find out if you can do that.

    Although the laws are similar regarding LLC's in most States there are significant differences from one state to another.

  2. Contact your new Secretary of State, who will instruct you as to what kind of certificate you need, usually one showing that your business is still active, in good standing, and, there is usually a small fee.  

    It's called registering a 'foreign' corporation. (It would be considered 'Domestic' if you'd originally started the LLC in Missouri.)
