  1. in big companies, boardroom are the chairman, all the supposedly great advisers to the establisment.  the ceo sits as the secretary - hence bringing all the headaches esp profitability to the board room.  ceo will put in is 2 cents worth, and he wants the board to make the final decision wh is usu recorded.  hence if anything goes wrong, he wont be fired.  when company is not doing well, then the chairman will get all these headaches and several members too as they usu hv 2 camps in the board.  

    when in/decision are stalemate etc ......
