    They are both AF-S DX lenses with ED coatings and have the exact same focal length and aperture range.  So they are the same in those regards.

    The difference is the first one has Vibration Reduction and it focuses internally.  VR helps by allowing you to handhold your camera at slower speeds than the normal 1 / (focal length * 1.5) rule.  Internal focusing generally means the front and rear elements don't rotate.  This is helpful when using filters like a circular polarizer.  If you set your circular polarizer to the desired effect and then focus with a non-internal focusing lens, you're circular polarizer may no longer have the same effect.  You'd have to adjust it again.  This isn't a problem with internal focusing lenses. (Note: It may still rotate some if you change the zoom.)
