  1. For the NYSE:

    IPO's: 400 holders of 100 or more shares and at least 1,100,000 shares outstanding and at least 60MM market cap

    To transfer to from another market there are 2 tests:

    Test 1 - 400 holders of 100 shares or 2,200 shareholders and; 100,000 average monthly trading volume for the last six months and 100MM in market cap

    or

    Test 2 - at least 500 shareholders; and a min. of 100k share monthly trading volume for the last 6 months and at least 1.1 million publicly held shares and at least 100MM market cap.

    Also, the issuer (company) must have 10MM or more in  pretax earnings over the last 3 years OR 75MM or more of revenue in the most recent year and 750MM in global market cap.

    Also, good to know.  company can be delisted if total number of shareholders falls below 400, or shareholders fall below 1200 and average monthly volume falls below 100K, or # of publicly held shares falls below 600K
