  1. A limited liability company that has been organized in another state is generally referred to as a "foreign" LLC.


  2. An LLC is a Limited Liability Corporation no matter which state is it in.  The reason simply is so is because of the Taxation of a coporation.  Therefore, certain states aren't allowed certain corporation designations.

    Although there are 2 different options in which the management is established.

    I'm not sure what you are talking about when you call it an ILLC.
