  1. Some times a little bit of the audio coming out of a device, leaks into the power supple, causing interference with other devices using the same power supply.  A power conditioner will prevent this, and sometimes will also prevent power surges.  A surge protector will only protect from surges.

  2. A Power conditioner will filter incoming power, removing high frequency noise, voltage spikes and adjusting output voltage to a precisely controlled level.

A surge protector is a much simpler and less effective device. It simply controls voltage spikes and keeps them from flowing through to the Home Theater electronics.

Voltage spikes are kind of like "Water Hammer" which I imagine you've heard when you shut off a water valve quickly. Electrical voltage spikes are similarly produce when large electrical loads are removed from a circuit. Large industrial electrical motors are the usual culprit though lightning can be as well!

A conditioner is a nice addition, a surge protector a mimimum requirement.

  3. The surge protector prevents electrical spikes (surges) from entering your system and causing damage.  The surge protector absorbs these spikes and eventually will need to be replaced.  I never heard of a power conditioner, but I Googled it and came up with this....... http://www.wisegeek.com/what-is-a-power-...

The difference is basically this. . .  While surge protectors safeguard equipment, a power conditioner cleans the signal, eliminating interference on the line. This can translate to faster, more reliable network operations. . .
