  1. Article 6 of the US Constitution states That the Constitution shall be the "Supreme Law of the Land".

It was NEVER intended to have ANYTHING to do with business regulation.  Regulating business is NOT a power granted to the government by the Constitution.

  2. Since Bush stole the presidency in 2000, they have no role at all and business regulation has become an oxymoron.

  3. It varies by state. Originally as someone pointed out, and as Republicans point out, states are meant to retain all right within their territory and the Government of the United States should only interfere when inter-state commerce or interstate crimes occur. This becomes difficult in our modern age of internet and outsourcing. But generally, corporations go to the state that is most friendly to them, which happens to be Delaware. So if they are sued, the laws of Delaware are applied. Similarly, contracts are almost always ruled by the Uniform COmmercial COde or the UCC, which is not mandatory, but most states have chosen to adopt it as code for contracts and business code in their states.
