  1. Board members are not necessarily employees of the corporations they are on the board for.  They are respected leaders brought together to make steering decisions for the corporation.  However, the CEO (Chairman of the Board) is often an Employee of the Corporation.  Sometimes, they are the President or other senior officer of the Corporation.  Although, sometimes they are only the CEO (e.g. a retired senior officer).

    It's called a Board Meeting because they are Board Members, and not necessarily employees.  The CEO is responsible for holding the meetings and represents the board at large.


  2. "Board" is an old word for table.

    Board meetings were held around a big table; the word was then extended to mean all the people entitiled to take part in the decision making of a company, a charity, or whatever.

    The ordinary members of a Board would sit on benches along the sides, but the "Chairman" would sit on a chair at the head of the table.

    Chairs weren't all that common, so it showed his importance.
