Why is Yahoo! playing on Microsoft's heart...?

Ms says it offered a very fair offer,now yahoo seems to go other way,

is it fair for Yahoo to play that game so much on Ms?

MS is an inherently evil company - I would discourage Yahoo from selling out to them.  But they are afraid of competition from Google.

Look, it's a business strategy.  Companies do not have "feelings" to hurt.  It may well be a tactic to try to squeeze more out of MS.  Yahoo isn't obligated to sell, MS isn't obligated to buy.  The terms have to be acceptable to both.  If they don't reach a compromise, no deal.
