Will This Cpu fit my computer?

I have a HP Pavilion 762n with a Pentium 4 2.26GHz 478pin processor and I was wondering if a Intel Pentium 4 3.2GHz 800MH 478pin 1MB Tray CPU would work as a swap. Also I wanted to see how much GB's of Ram it can handle. It only has two slots. Thank you very much for taking the time. I appreciate it.
