  1. Because the diligence is "owed or owing as a natural or moral right" as in the phrase "....with all due respect...."

    In business & commerce, whenever two parties try to enter into a new deal, or a contract, or a transaction, or any sort of new business development, each party at first assumes a fair and rationale approach on both sides. Each party would apparently not want to cause harm by way of their dealing.



    However, in real world, either party could be acting on malafide intentions or with hidden motives. Each party reserves the right to 'check' (carry out diligence) on the other party before consuming the deal. It is thus assumed that this diligence is 'due' before consuming the deal.


  2. It is just a legal speak way of saying taking the proper care in what you do.
