"American subsidiaries" refer to WHAT??? (10 points)?

this may be a stupid question, but does the term "American subsidiaries" refer to 1) subsidiaries in foreign countries owned by USA-based companies or 2) subsidiaries in USA owned by foreign-based companies?

the question has been bothering me for the past couple of days, and I would really appreciate your help on this! Thank you!

Korean Co. ABC1 has a seperate co. in the US Called ABC1USA. ABC1USA is the American Subsidiary of ABC1. SonyAmerica is the American Sub of SonyJapan. See?
